If the syndicator does well then the passive investor got a fatter split then industry average. if the syndicator messes up though due to inexperience then passive investor could lose some or all of their capital.

Same for one who is maybe more residential in experience and newer in commercial realm, seeking to weight mostly from comps and struggling with finding good ones without extensive adjustments.
