Wow!! Great conversation and I think I got it. Always wanted to invest my own money but was researching buying and selling and acting as the 'straw man' as you put it.

Ok Bill, so when you say:

"If you are borrowing funds giving a collateral interest in or to the financial instrument, you are then floor planning an inventory and acting as a business if you sell the asset."

does that mean there needs to be a seasoning period? What is the criteria for it being an investment vs a business if the partners decided to sell at some point? Does it matter who they sell to?

And does marketing to buy notes constitute as having a business?

Ok, I don't plan on originating notes between a borrower and a lender but do plan on purchasing for my own portfolio. I was also hoping to find notes for investment firms, same as wholesale the note to the investment firm.
Bill Gulley, so are you saying that there must be a definite and precise close of the purchase of a note with MY funds prior to selling the note or else it is considered a transaction in which I need a license? What if I found a note, collected all the pertinent paperwork and forwarded to a note buyer who performed their due diligence (appraisals, etc) and I receive a finders fee?

Does anyone know whether you need to be licensed to invest in notes? I am getting conflicting info. I would like to invest my own money but would ALSO like to find note holders and connect them to institutional note buyers for a referral fee. I am currently planning on investing in the DMV (DC, MD and VA area).

Besides using comps, how do you set a value for a duplex/multi-unit/multi-fam?
