@Joe Homs Thanks for the quick response! If you don't mind me asking, what type of homes are you flipping? Have you ever been in a situation where you couldn't sale at the price you wanted too? I think I have seen you comment in the past about court house deals, if so are these houses are all cash?

@Jeff B. Thanks for the response, I recently went to a local meet up of investors and was informed by this "investor" I would need to register through the SEC. Since this was the first time I heard this, I wanted to post this question on BP. Do you have any other suggestions before consulting with an attorney, I would appreciate any insight you are able to give regarding your experience pertaining to a close entity.

Hello everyone, I am new to BP and am grateful to be on this site, it is truly amazing in the wealth of knowledge here. I am located in California and continue to get mixed messages regarding the need to register with the SEC. I am planning to start my endeavor to financial freedom with the assistances of an acquaintance who is a doctor. He would be the one who brings the capital and I would be the one who would acquire the property, rehab and sell the property. I have the understanding this would be considered a hard money loan, is this correct? What if he and colleagues, no more than 5, were interested in financing property acquisition in which they would be silent throughout the entire process from start to end, SEC now? If anyone has been in this similar situation please provide feedback that you would recommend.

Lloyd Stanton your description of posting your success on media outputs is along the lines I was thinking about in trying to raise some capital. Do you have a LLC? I have been doing some reading and keep on running into the problems such as SEC. How do you approach your private investors in what rate you offer, terms etc. any help I would appreciate it.
