Joint Venture Contracts - What do I include ?

Hello Bigger Pockets,

I am considering having another wholesaler work with me to sell my properties. They approached me asking if I would mind to partner up on some deals since they have a list of buyers that may be interested in my property. I am interested in doing this on a deal by deal basis. I know I have to create a Joint Venture agreement for both of us to sign. My question is where do I start, Are there any specific clauses that I need to include to protect my self when going into something like this? Does anyone have a sample contract that I can view?
