Texas House to Wholesale

This is my very first wholesale. I sent out a few yellow letters in 2009 and I just received a seller who lives in CA and he wants to sell it for 55k. I looked at the house today and it needs major work inside and out. It has siding, and he says he replaced the roof when he bought it 20yrs ago. The inside has dark panel walls and dark hardwood floors. The house has 2 bedroom 1 bath. It is 1000sqft. The back yard is very large. The neighborhood is ok.

What forms do I use to offer him less because I don't think it is worth 55k.
