Greeting readers, 


I am looking for recommendations on how I should structure a commercial property acquisition. I have a property in mind and all of the numbers look good and make sense to acquire and hold for long term cash flow. I am looking for financial backing in the deal and have some investors who are interested. I have studied syndication a lot but have never gone down that path. I spoke with an attorney about structuring the deal and he spoke of creating a series LLC to structure the deal. Create a parent company then create a sub LLC for the property itself with its own operating agreement to lay out all the logistics for the manager and the members (investors). I want to make sure there is nothing I am missing with the legal structure of the deal. Studying syndication I understand you can only solicit certain types of investors and the SEC gets involved. I don't want to pursue a deal that looks good and then come to find out I am not in compliance with the IRS or SEC. I am willing to answer and questions about the deal to structure if need be. Thank you for your input.
