Foreign LLC in New Jersey

I registered a company in Utah in 2013 . i did a deal this year by purchasing an LLC in NJ that own a property in NJ. The LLC in NJ is Registered but the lawyer that helped with the deal is saying i have to registered the foreign LLC too in NJ. That the Foreign LLC is considered as doing business in NJ cos of the purchase of the LLC. This is delaying me getting an updated Certificate of formation for the NJ LLC.
