400k to invest with 3200 a month payments

Need some advice , So me being a contractor and my friend who is a real estate investor have a mutual friend that wants to help invest 400k with payments of 3,200 a month on a HELOC . We have to structure the deal this week, so do you have any suggestions on how to split the payments and rental property income?
