Non-compete / Non-disclosure agreement

Hey Guys/Gals,

Need some ideas on creating a non-disclosure/non-compete agreement between myself and a property management company that is also a realtor/brokerage. I have an out of town investor looking to buy 50 properties here in Cincy, Ohio; and I'd like for any and all deals to my investor to go through me... In other words protect against the realtor / brokerage from going around me to sell to my investor. Any ideas of verbage, or agreements to be used? Thanks in advance, Wholesale Willie
