In this article https://joefairless.com/struct...by Joe fariless, in the last sentence of "4 - Investor Relations" Joe says: "Technically, according to Rule 3(a)4(1), if someone is only raising capital, they are not considered a GP."

whats rule 3(a)4(1)? and what does Joe mean by that sentence?
