Amending an LLC's to Reflect as a Series LLC in Delaware

Hi Everyone,

My business partner and I currently have our REI business set up under an LLC in Delaware, and we want to be able to place each property under its own LLC to help protect the other properties from litigation (if that ever happens). So, we have been looking at amending our current Certificate of Formation by adding an Article that makes it a Series LLC.

Has anyone done this in Delaware before?  If so, how did you word the article to reflect this change?

As I understand it, this is all Delaware requires you to do in order to change your LLC to a Series LLC. Updating and changing your Operating Agreement is your responsibility and does not have to be filed with the SOS in Delaware.

Is there anything I'm missing?  Thanks for the help in advance!

Thanks,

Sean
