CPA or Real Estate attorney or both for private money investors?

Hello BP, 

I'm new to BP and this is my first post. =D 

I'm interested in setting up a company and invest in California with a few private investors' funds. Currently I'm thinking about offering both debt and equity styles of investments, so I would like to find out the legal documents and procedures in setting up such structure. Do I need a Real Estate CPA or Attorney? Does anyone have strong referrals for candidates in the San Francisco area?
