Potential partner willing to fund deals

Aloha BP,

I may have found myself a potential partner that is willing to fund investment properties that I find as I provide the network to rehab, manage, rent and refi those properties to pull out the initial equity my partner provided and split the profits (not sure of the split yet). He may be willing to tap into his HELOC knowing that it is sitting equity that could be earning him more money. I'd like to keep this as legal as possible and want to make sure I cross all my "t"s and dot all my "I"s. I'm looking for guidance as to what would be the step by step process to getting this started? I'm excited to continue down this real estate journey but don't want to ruin any relationships along the way nor do I want to wait on the sideline to let me capital build up. Thanks in advance.
