Help on building an investment fund

Have an opportunity to buy a parcel of properties and am looking to put together an investment fund to make the purchase. Need help on structuring the fund itself and the legal docs to get it going.

When you say "fund", what do you mean?

If you mean a full syndication with a complete PPM (private placement memorandum) then you need to get with a securities attorney and discuss how and where you will find the investor's, how you will structure thevinvestment, and so on.

If you are raising funds strictly from family, friends, etc and you keep the number for investors to a minimum, you can do so with an LLC, LP, or other entity with a full operating agreement written by your attorney.
