1031 exchange and Post tax $$ Partners

Hello Experts,

I am partnering with a friend to purchase apartment complex who is brining in 1031 exchange money and I am brining in post tax money for down payment. 

Any suggestion how to best structure this deal?

@Gary B. equity is typically divided up according to the amounts invested (pari paasu) 

Fees can be divided up depending on roles and responsibilities.

Make sure to sit down with an attorney and draw up very detailed partnership agreement that contemplates not just profits but worst case scenarios.
