Subject To Deal - Looking for Advice

Hi all, Looking for help describing a Subject To offer to an interested seller.  I do not currently have a relationship with the seller as the lead was obtained as a cold call, we met 1 time when I viewed the property. 

I have not purchased a home using subject 2 before however I understand the concept. 

Deal Specifics: Triplex. Currently only 1 unit is occupied, 2 are vacant. Gross rent potential is about $1800 with landlord paying all utilities. The home only needs minimal repairs, about 5-7K to get the unoccupied units rent ready. My offer which the seller has expressed interest in accepting was me taking over the loan, balance of 35K, and giving him 3K in cash. Current loan payment is just under $500/mo PITI. He currently owes about 35K on the loan. ARV is about 50K.

I do have the ability to pay cash, which I could provide proof of to provide security to the seller, however the benefit to me would be preserving that cash for another deal. 

Main focus would be overcoming the objection of legality of the sale, potential of lender calling the loan, and simple terms to layout the process to the seller.
