Easement Rights in San Diego CA

Need advise... I have a property with an easement right of way in the Grant Deed.  A developer has bought up hundreds of acres in the area and wants me to relinquish my easement rights to them.  I have utilities that run along the easement (electric and water).

I did not accept their contract because I didn't trust them. I would end up being land locked by the developer's project. They desperately want the easement and filed a lawsuit to strong arm the negotiation of the easement. It's been two years and the developer finally agreed to negotiate and drop the case. What are the cons? The advantage is, is that a new HOA maintained road will be available to me to replace the current easement. What do you think? Is this a good idea or bad idea?
