Replacing Chimney with Pipe

Hey BP first off thank you for taking the time to look at my post.

I've got a chimney on a property near Minneapolis Minnesota that has deteriorated and needs to go. No fire place, however the water heater and furnace both vent into it. It's about 10' tall it comes out near the bottom of the roof. When

I first got the house a couple years ago I called some local masons to get quotes for tuck pointing. However they informed me that the chimney would need to be completely rebuilt from the roof line and the quotes I received  were more than I could bear for something that doesn't enhance the value of the property. 

Now I'm ready to deal with it, I'd rather just get rid of the chimney and the maintenance expenses that go with it. I'm hoping to demolish the chimney down to the roof line and replace the exposed portion with some class A chimney Pipe. I'm wondering if this is feasible/ allowable under Minnesota building codes. Also I'm hoping someone on here can recommend a contractor, preferably one who has done this sort of job for them in the past. Thanks again!
