Writing the buy-out element of a partnership agreement

Hi All,
A partner and I are planning on purchasing some property together. We are happy with our agreement on division of labor and funds. Where we are stuck is how to write a buy-out agreement. We will have a loan on the property. What advice do you have for ways of buying out a partner? @Brandon Turner, you have experience with partners. Anything to suggest?
