Feedback on Setting up Partnerships and Silent Partner/Investor

Hello BP - 

I have a few questions regarding business structure - 

1.  I am curious how one would set up (paper work wise) a business relationship with a peer who wanted to have an active role in the business ?

2. Also - would anyone have advice on setting up an investor relationship (if a peer wanted to invest money into the business but not have an active hand in the daily processes) Any feedback appreciated. I have set up my LLC as a solo venture but could at some point bring on a partner.

3. Also - if anyone use a self directed IRA to buy properties, can you roll an existing IRA or 401k into this new tax shelter shelter?
