Partnering with existing business

I am supporting my friend in helping build new strategies for her consulting business and I had an epiphany and pulling in a real estate investment opportunities "benefit" to the consultants that work for her and another offering to her clients. The REI company (ABC) would be independent of her consulting company and I would be running ABC. She has strong potential "investor" list with $$ that could be drawn from for REI passive downpayment opptys. Now, I am unsure what other role(s) she, or her team, could play in company ABC right now, but there could be options for them to provide financial or other management roles (all TBD).

But based on this, what do I need to be thinking in a partnership of this type (two businesses coming together)? Equity split thoughts?
