I'm seeking California or New York based CRE lawyer specialized in 506(c) securities offerings to structure an offering to send to my network of potential investors.

I did not engage any lawyers, nor did I get my own insurance carrier involved.  

I spent a good chunk of yesterday talking to a few landlord friends and a local lawyer and all have agreed that in the state of Indiana the lease is now null and void because the tenant passed away.

A simple operating agreement, I can almost understand going at alone, but a JV agreement... lawyer territory only!

I now prefer to use Rocket Lawyer. 

My cross border lawyer here in Canada also suggested an Limited partnership (LP). however, I have questions about how to set it up so that lending is not an issue? 

A lawyer should be able to get them out. 

If you are considering a rent increase and are unfamiliar with these rules, you should likely seek out a local Landlord/Tenant lawyer for a brief consultation. 

Now you have no tenant and lawyer fees, insurance deductible, etc.
