Value the property based on the NOI and make your decision from there.The one thing that jump out at me was the Historic District.

If they do a bad job or perform poorly then they get fired, plain and simple.

Lastly they did not "confirm that they could not move forward in Texas", they simply made a business decision not to walk away from you and take a loss on your inability to meet your deadlines.

To me the decision seems obvious which one I would want.... 

I always appeal if they clearly make a bad decision and sometimes they give in.  

Due to piss poor management/hospitality, the business only brougt in about $170k in revenue over the last 3 years.

Poor turnkey or BRRRR operators that over promise and under deliver, you experience less than promised returns.

I used 20% vacancy, just to be sure not to over estimate my profits being generated and also a fair to low daily rate, which will only fluctuate up in better then poor market conditions.
