I have a property I'm my crosshairs, but before I pull the trigger I'd like to get some community feedback on the best entity to purchase under for tax benefit and personal protection.

Additionally, if a deed transfer is not possible for a short sale then how am I protected if I paid him the 100K, since the property is already underwater, putting a lien on it would be out of the question.What would you do in this scenario assuming short sale price can be around $600-$700K?

A potential LP who doesn’t know me might think this structure is weird and not protective of their interest in the deal.

In the real estate world, a fine line exists between protection and acceptable risk.

I'd also bet that like MA, CA inspection results and historical records are public and probably available online.If the numbers are good, I'd proceed with your due diligence.

My only concern is what else hasn't been disclosed though a well-drafted contract should protect you. 

These jurisdictions think they are protecting homeowners (most of who don’t pay) from predatory lending but what it will end up doing is not giving potential borrowers any chance of home ownership.

I suggest properties occupied by investment grade public companies or strong franchisees/operators of national brands with 10+ years remaining on the lease contract.
