I understand with your method I'm theoretically better off because I can keep the entire thing, but I can imagine a tenant who is not able to exercise his lease option may be a bit disgruntled and thus, tempted to trash the place on the way out.

A sole prop provides no asset protection.I can't imagine to many accountants actually suggesting a RE investor should use a sole prop.

In other words, if I were to get a loan after saying I was going to pay cash, legally the bank can terminate and keep my earnest money.Now, that said, I don't imagine a bank would want to do this, both from a loss of revenue perspective and from a negative public relations perspective, but if I read the addenda correctly, it appears they do have the right.This is the reason I put the stipulation in my contract.
