I feel better informed after reading this thread. If I am understanding correctly asset protection through an LLC is about control.A little like constructive possession in a criminal case.If it's in your sphere of control you could be considered in possession if you knew or should have known it was there. The more control the owner maintains over the asset the less the assets are protected from the owner's liability and I suppose it works the other way around. So the OA is kind of like a algorithm that if adhered to does its own thing and the more it does it's own thing the more a lender might be inclined to trust the LLC rather than the the owner who may screw everything up.So a sloppy or less than clear OA is a bad sign.If so I understand why withdraws or actions other than stipulated in the OA might be sort of a sign of a loose cannon on board.A salary would be ok as long as it not easily changed and perhaps even stipends, dividends or bonuses spelled out clearly would ok.
