As for the draw process the majority of HM lenders require you to get a percentage of the renovation work completed (and paid for), then you submit a draw request.

I am not familiar with Kentucky, but in Arizona it is pretty easy to set up an LLC yourself by following the instructions online and submitting your own forms.  

I just never heard of a bank making a counter offer AFTER submitting Highest and Best offer.

If you think its overpriced, submit your offer anyway and get 'on the books' as a serious buyer, but dont expect an approval until they are ready to budge on price.
