I would start one from scratch and then convey the properties one at a time into the new series LLC.In terms of the potential pitfalls...Some lawyers are concerned that courts will simply disregard the series structure and open the entire entity to exposure -- even though the statute specifically says that the assets and liabilities are segregated.

I was reading over some rental laws in Baltimore County (not to be confused with City) and noticed something interesting.While there is no law stating in what order you must apply late rent payments, the order does matter when dealing with a Breach of Lease.So for example, Tenant is late and you file for rent court and charge late fees.

Once as a named party in an employee-filed lawsuit where a bunch of us were named (never went to court); once as part of a lawsuit in an accident my daughter was in (settled through insurance), and once by an insurance company when I had been a renter, from an unscrupulous landlord who leveraged my free clean-up of the property into a check from his insurance, who then abrogated the claim against me.

On top of that, if you are a buy and hold investor, the Tax Courts have historically held that owning rentals is precluded from the Hobby Loss Rules - therefore it won't be a factor to worry about.
