I can't speak to requirements in your state, but the things that come to mind are a) having another agent or your managing broker be part of the transaction so there's no question of the seller not being adequately represented if you end up buying it, and b) making sure the question of what he would have been likely to get on the open market be adequately addressed, so there's no issue of whether or not he got less for it by selling it to you if you do end up offering to buy it before it gets listed.
