To *my* understanding the difference is this; Lets say his properties are worth 2M and paid for with 1M of depreciation and he paid 1M.1) If he held them and he died and they went to his kids (this is ignoring if he has a spouse right now) they would get their tax basis 'stepped up' to the value at the time of his death, or 2M.
