As the entity grows, your intent is to market that investment as a product to where investors could receive fixed and secured returns.

Your best bet, if you can find a lender, is to do a straightforward refi and pay your friend off as part of that transaction.

As you are acting as principal in the transaction, you do not need a RE license.

Not to mention, Lehman was probably only involved in the initial transaction.
