Perhaps the seller needs the interest (or wants) from the loan to recoup capital injected into the project which the market will not bare with a cash or conventionally financed sale price.

All of the sudden they want to rebuild and their ACV policy where "they picked the value" is barely enough to remove the debris and cover the soft costs let alone rebuild to current codes.
