I hired a secretary to do my databases and keep track of the back office stuff as most of my time is spent on the phone and analyzing properties for myself and my commercial clients.The rest of the year will remain the same with helping my clients go for more triple net properties and multifamily properties as well as my own investments.I did help my brother-in-law get a place.

If someone from company A agrees to a change but it isn't in writing, it will be hard to prove, but the first clause makes this possible...or does the second clause make this not possible....Also, if someone like a secretary orally agrees to a change, does the first clause hold the company responsible for her making the decision for that agreement or again, does it need to be in writing??

Generally speaking, you will not be able to initiate a bank account under the LLC's name unless and until the LLC has been approved and certified by the California Secretary of State.
