Is there a grey area or is it clearly defined?

Specifically I am looking for a combined tax/asset structure strategist to work with to define this overall construct for my personal situation. 

The FTB takes the position that a foreign LLC does business in California if any member, manager or agent of the foreign LLC conducts business in California on behalf of the foreign LLC.FTB’s Statements on Doing Business in CaliforniaCalifornia defines doing business as “actively engaging in any transaction for the purpose of financial or pecuniary gain or profit” (R&TC Section 23101(a)).

I am talking low income rents (defined as $1200 or below).  

The state supreme Court ruled on it, but try getting your local building official to understand case law....I saw one city not long ago defined "substantial" renovations with a variety of things, including just converting from electric to hot water baseboard heat.Could a building department interpret a conversion from 2 to 3 bedrooms per unit (adding 3 total bedrooms and increasing occupancy by 50%) as substantial? 

Make sure you are on the same page and write out eaxctly how “profits” would be defined and split. 

@Kenneth Stump You may want to look into the property code to see what the state defines as "habitable."

One word of caution though, if you going to put it on a tenant to do.... you better have clearly defined standards/expectations.

One that is a sort of automated, monthly mail out defined by a mapped area of homes.
