You would have to demonstrate under audit that you had the intent to hold the relinquished property for rental, investment or business use in order to qualify for 1031 Exchange treatment.Assuming that you do qualify, you could do a concurrent two-party swap as long as it is properly documented by your advisors, or you could sell your relinquished property first, structure a formal 1031 Exchange transaction through a Qualified Intermediary, and then by her property as your replacement property.Keep in mind that your relinquished property and your replacement property must be held for rental, investment or business purposes in order to qualify for tax-deferred exchange treatment.

While the 1031 replacement property TIC (tenant in common) industry can have up to 35 owners for an individual property to still maintain the 1031 treatment qualifications on the way in and out of the investment for all the owners, many lenders are now used to doing TIC structured loans where there are only 2 or 3 owners, but they get in as tenants in common and not joint (or other partnership) tenants/owners, so they get the freedom to go their own way afterwards.

Omitting the seller's depreciation in the valuation to the sale price skews the tax treatment, the value will not be correct for the seller and they would be paying gains on the sale without the expenses properly accounted for.
