LOL I've come to loath lawyers and take what they say with a grain of salt.  

In this case, they should give the downpayment to your lawyer to hold in escrow until the time of closing.

You are expecting a legal dispute so contact a local real estate lawyer and get an informed opinion.

Some people might lose their cool on me/us for saying needing a lawyer for this situation is overkill.

I am planning to get a lawyer to review or create something but it would be awesome to have something proven that could be taken for review for wholesaling in Texas.

But tenants easily cry "lawyer".The lesson learned, for us, is to do periodic inspections and see what's going on before the final walkthrough.
