However, if the rent appreciation is good but it is everywhere else then the cast flow is not improving with respect to other options. 

The main difference is that seller was  a very kind, respectful, and honest man. 

If they feel like they owe you a fee but you don't want it then respectfully decline it and maybe they can help you the same way later.

Alternately, you can form a 3rd account under the plan for just that project, use that to handle the single shared investment, and then kick investment returns back up to your respective participant accounts periodically.
