It appears pretty straightforward with the lot size needed and zoning it has an R-1 or R-2 and I don't think we'll have any issues with that.

This is how I've been doing it for years, and I have NEVER had an argument from any partner after the following steps were per formed:1 - Make a list of all of the roles and responsibilities for all of the partners (don't assign any yet...just make a long general list).  2 - Now assign numbers from 1 - 10 to each based on the relative importance of each R/R as to how they relate to eachother.

Co-tenant anchor clauses, restricted uses in the lease, cumulative or non-cumulative caps, controllable and non-controllable expenses, aged receivables, any CC and R's for current and special assessments, when was roof and parking lot last completed, when are property taxes reassessed, early termination lease language, business buyout of existing tenant ( example 300 unit Subway operator on lease sells to 2 unit franchisee and guarantee goes away.
