In the end equity stacks and finance structures are limited only by your imagination. 

Having said that, if your LPs are initiating a capital call before the GP does, I would imagine the GP is severely lacking in their duties and would probably be voted out before it came to that. 

This might go over better elsewhere - in CA I’d imagine it could get messy.

I imagine that they won't be around much longer and that eventually some of them will end up in jail.  

Imagine being locked into a 10 year contract with a vendor with horrible customer service and you cant do anything about it for a decade?!

I can’t imagine that just the fact that the income is over $1,000 - without clearly being UBTI - is enough for my CPA to say that I must file a 990T.

Without knowing numbers I would imagine if they improved their building a little bit I'm sure they could command higher rents so see if you can chat with him about that. 

I can't imagine KW would let me hang their license with them if I'm just going to do 0% commission deals...I assume they have a minimum commission you're allowed to take (like 2%).

I can’t imagine trying to keep different bank accounts and having different debit / credit cards for each one.
