If you ask the manager to justify a fee and he starts hemming and hawing, move on or require them to remove the fee.

But even then the individuals A B and C are still removed from actual ownership by the LLC and the partnership.If the partnership didn't want to hold onto the properties I would recommend that the partnership do a 1031 exchange and purchase properties satisfactory to all and then after letting the dust settle dissolve the partnership and distribute the properties to the individual members.
