I ran a general contracting company for years and just recently shut it down to focus more on my own investments.

I honestly do not see the value in this partnership unless you trust this gentleman like a brother and looking to build a relationship for ongoing projects.

Thank you @Dave Foster, that is super helpful.When I ran this question by my CPA he said "That’s an interesting question you would talk to a tax lawyer about that it’s super complex let me know how it goes." -- This raises a flag for me, should he have been able to guide me better?

@Mark Hargrove No problem, I ran into the same situation, I tried buying a duplex but the same thing happened, when I read all the info, the seller said he would not split them up.  

We planned on going in and spending 10-15k to bring property up to par.

However, as my father the mechanic said: "You get paid to fix cars, not polish tools".So you spend a lot of time on goes-in-tas and you're stuck.

I ran the comps it’s relatively even out but more potential for growth.

I ran comparables and the birddog's ARV was too high so I adjusted the ARV down.
