A broker is licensed by their state to conduct real estate transactions, i.e., buying and selling of real property.An agent is basically a licensed individual who works for a broker.In a typical setup, a broker will manage a real estate office while the agents do all the "heavy lifting", such as showing properties, filling out contracts, handling phone calls, coordinating inspections and appraisals, etc.

Corey has provided a sound answer.The key thing to understand is that lthe ender is going to set the amount of money they will lend you based on what they appraise the completed value of your project to be and the Loan to Value ratio they are comfortable with based on that appraisal.So you need to know what the appraised value of your completed project may be, figure out what the bank will lend you based on their current LTV, and then figure out if that is enough cash to *Buy the Property*Conduct all Due Diligence and Design*Aquire Permitting*Construct the Project*Market the Project & Sell/Lease & Manage DependingOh yeah, and you want some cash left over for you when it is all said and done.

In layman terms it translates respectively to: (1) the law recognizes liability either by common law or statute, (2) the facts show that the party suffered money damages because of the defendants conduct, and (3) assuming that previous two are true, there are assets which we can take from the defendant to satisfy the judgment.

Knowing the laws for your area is a requirement if you want to call yourself a Professional.Professionalism is the way you conduct your business, not a license or certification ( and not all licensed real estate agents are Professionals).

In any legal scramble it should cost less as your attorney won't be trying to justify the business conducted between separate entities and the super ego aspects mentioned, it's all under one roof but the cells may be separate.
