suspect in the scenario you describe above Joe.. you would be creating a new first loan and your heloc would subordinate to this new loan and of course the new first would look at total debt and I suspect the subordinated Heloc would also want a peek at total debt to make sure they still have equity coverage.

And In CA you certainly cannot be selling real estate you don't own without a license just look at the BRE website there is a tab right on the front page to turn in people you suspect of unlicensed activity. so I see your dilemma  you have a for real buyer.. and the listing agent finds out who it is from the title company and calls them and says hey just come through me you don't need to pay more for this through this wholesaler dude.. listing agent double ends it he is happy.. buyer gets a better deal he is happy and seller gets more money they are happy.. what value do you bring in this transaction.. other than to feather your own nest ???

I suspect you may be in the negative, not breaking even.I would do it for the right property, but only because I have 33 rentals and enough experience to know how to bring myself cashflow positive or because I have the financial ability to hold on for appreciation.
