I establish a LLC with an operating agreement that spells out the terms...the partners then hold "shares" in the LLC.If you continue on your current route, and you feel so generous as to consider the down payment for the investment a contribution, I would offer a portion of the deal relative to the payment...i.e. if the down payment is 25%, then they have a 25% ownership.
