If the CA FTB contests your position, you'll need a lot more than that in court as the burden of proof is on you and your advisors, not the CA FTB.A foreign LLC (as it relates to CA) that has a manager physically located in California is indeed doing business in CA as that is both the general definition and the definition adopted by the CA courts of "commercially domiciled in CA".

I'm not familiar with Texas laws, but you might only be able to transfer a 1/2 interest in the whole (as opposed to 1/2 of the physical property).

I'd (physical) mail and email them now that you'll be making this change in 30 (or 60) days and then charge them an additional $25 for tenants who still insist on sending checks.

We have a HELOC that we may have to access.In order to pre-qualify for a mortgage and showing available funds, should we exercise the HELOC and get the cash in our bank account before pre-qualification, or is the availability of the HELOC enough to show the funds are accessible?

I personally would rather have the physical asset that builds equity but is seems more of a gamble to bank on that with a low or negative ROI.
