As @Jon Holdman pointed out, the property needs to appraise or something has to happen....The exercise price has to be reduced by you the owner of the Sub2 to sell, the TBer has to come up with more money to close (unlikely), etc.

Yes, it may cost something, but you could then use that Operating Agreement in a hundred more deals reducing the cost of the fist one. :)
