The lease says it is a "net, net, net lease" but they never defined what that meant and now we are fighting over who owes what for various items.As far as your delivery date with penalty, I have done many deals where the delivery was "no later than ________" - this allows delivery sooner -- might look into that for your deal so you can get rent faster after completion but still allow time to avoid the penalty.

I assumed she knew the general plan, but obviously she didn't.A rezoning application is $15K, and I was told there would be very little chance it happens because the neighbors would fight it like hell, and the city officials are also elected by them.There is a chance to rezone it....but it would have to be with by the person who has architect plans and wants to live there.

There is plenty to search on this topic, but yes an LLC makes sense, and for flipping/wholesaling you should look at electing to have it taxed as an S-Corp and doing salary splitting to minimize self employment taxes.
