If sold before his death a good estimate would be pretty close to 20% of the selling price in federal taxes. (15% on the capital gains which is nearly 100%) plus 25% on the building’s depreciation.

If closing is on the 24th of June, then they are close to having to lift the conditions or they risk losing their deposit.

We can close it but I would recommend having another attorney draft the agreement (we can make a referral if that would help).

I am thinking of a lower Fund Management fee, as my company will also have a property management fee, and I will also build in a percent ownership for putting together the whole deal, but I don't really know what is standard (or if there is a standard).Thanks @Henry Clark. 

Is that going to be an issue at closing or for title  or am I just being silly and paranoid. 

Just wanted to know if anyone have used a title company that know how to close wholesale deal or assignment transaction?

I know this individual well, but not as well as family or a very close friend.

The seller may face a big tax bill if they receive a pile of cash at closing.
