Totally agree with @Chris Seveney- people alwyas think there's some secret tax benefit or trick if they do things like this.

Followup is the secret. 

We discovered there were lead findings in the due diligence process which caused issues on the lending front.

So I don't see any reason to be secretive about any of that.
