The only problem is that you will now have a payment against it if you spend it (which you would on the down payment for property #2) and you will have difficulty (I think) refinancing property #1 in the future with a active HELOC on it.

I would personally be a little leary of a lender who is trying to skirt around the requirements as it might make for difficulty in closing as @Jared Viernes mentioned. 

I know one of the difficulties is in getting a home construction loan (high interest rates, strict time tables etc).

Not many people came to look at it and I tried selling it to neighbors but it was a little difficult. I

THe difficulty the person doing my taxes is that he stating he cant create a 1099-R from my company if it never actually saw that money.

When investing in property, especially low income property in a blighted area it's important to note that things can go well for awhile but there will also be stretches of major difficulty.

Have 4 units under sales contract but finding difficulties in getting buyers financed.
